Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Lognitor platform, website, APIs, SDKs, documentation, and all related services (collectively, the "Service") provided by Lognitor, a product of GrenzPro ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Service Description

Lognitor is a cloud-based log management, error tracking, and observability platform. The Service enables you to send, ingest, search, analyze, and monitor logs and errors from your applications, with AI-powered insights, alerting, uptime monitoring, and related features as described on our website. Features, capabilities, and plan inclusions may change over time as we improve the Service.

2. Eligibility and Account Responsibilities

You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) to use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

You must provide accurate, current, and complete information when creating an account and keep it updated. You are solely responsible for maintaining the confidentiality and security of your account credentials, including passwords, API keys, and project keys. You are responsible for all activities that occur under your account, whether authorized by you or not. You must notify us immediately at hello@lognitor.com if you become aware of any unauthorized use of your account.

3. Customer Data and Data Ownership

You retain all rights, title, and interest in the data you submit to the Service ("Customer Data"). We do not claim any ownership of your Customer Data. Lognitor does not automatically capture or intercept data from your systems — you control what data your applications send to our SDK or API.

You grant us a limited, non-exclusive, worldwide license to process, store, and display your Customer Data solely as necessary to provide, maintain, and improve the Service (including AI-powered features). This license terminates when you delete your data or close your account, subject to any retention periods required by law or described in our Privacy Policy.

You represent and warrant that: (a) you have all necessary rights and permissions to submit Customer Data to the Service; (b) your use of the Service and submission of Customer Data complies with all applicable laws, including data protection regulations; and (c) Customer Data does not infringe the intellectual property or privacy rights of any third party.

4. Acceptable Use

You agree not to, and will not permit any third party to:

  • Use the Service in violation of any applicable laws or regulations
  • Infringe or misappropriate the intellectual property or other rights of any third party
  • Transmit malware, viruses, or any other malicious code through the Service
  • Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks
  • Interfere with, disrupt, or degrade the integrity or performance of the Service
  • Send spam, unsolicited communications, or unlawful content through the Service
  • Use the Service to process or store data in violation of applicable data protection laws, including knowingly sending sensitive personal data (e.g., health data, financial account numbers, government IDs) without appropriate legal bases and safeguards
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Resell, sublicense, or redistribute the Service or any part thereof without our prior written consent
  • Use the Service to build a competing product or service, or to benchmark the Service for competitive purposes without our consent
  • Remove, alter, or obscure any proprietary notices in the Service

Violation of this section may result in immediate suspension or termination of your account, at our sole discretion, with or without prior notice.

5. Payment Terms

The Service is available in free and paid plans as described on our pricing page. Plan features, limits, and pricing are subject to change; current details are always available at lognitor.com/pricing.

All payments for paid plans are processed by our third-party payment processor(s). By subscribing to a paid plan, you agree to the payment processor's applicable terms. We are not responsible for errors, fees, or issues arising from the payment processor's services.

Paid plans are billed on a recurring basis (monthly or as otherwise specified at the time of purchase). All fees are stated in US dollars unless otherwise indicated. Fees are non-refundable except as expressly stated in these Terms or as required by law.

We reserve the right to change pricing at any time. Price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing cycle. If you do not agree with a price change, you may cancel before it takes effect.

Refunds are considered on a case-by-case basis at our sole discretion. To request a refund, contact hello@lognitor.com. We are under no obligation to issue refunds except where required by applicable law.

6. Plan Limits and Fair Use

Each plan includes specific limits on log volume, data retention, number of projects, team members, alerts, monitors, AI usage, and other features as described on our pricing page. These limits may be updated from time to time.

If you approach or exceed your plan's limits, we will notify you and provide a reasonable grace period to upgrade or reduce usage. During the grace period, we will make commercially reasonable efforts to buffer excess data, but we do not guarantee that all data sent in excess of your limits will be retained.

We reserve the right to rate-limit, throttle, or suspend your access if your usage materially exceeds your plan's limits, constitutes abuse, or negatively impacts Service performance for other customers, after providing reasonable notice where practicable.

7. AI Features Disclaimer

The Service includes AI-powered features such as auto-triage, chat analysis, incident timelines, and natural language alerts. AI outputs are provided on an "as is" basis as informational suggestions only. They do not constitute professional, legal, medical, financial, or engineering advice. You should independently verify AI-generated insights before making decisions based on them.

AI features may produce inaccurate, incomplete, misleading, or irrelevant outputs. We do not warrant the accuracy, reliability, or fitness for any particular purpose of AI outputs. We are not liable for any actions taken or decisions made in reliance on AI-generated content.

Your Customer Data processed through AI features is not used to train, fine-tune, or improve any AI or machine learning models.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted, timely, secure, or error-free access. The Service may be temporarily unavailable due to maintenance, updates, security patches, infrastructure issues, or events beyond our control.

We will make commercially reasonable efforts to provide advance notice of planned maintenance. Service availability information is published on our status page. Specific uptime commitments, where applicable, are detailed in separate Service Level Agreements (SLAs) available to qualifying plans.

9. Intellectual Property

The Service, including its software, design, features, documentation, branding, logos, and all related intellectual property, is owned exclusively by Lognitor / GrenzPro and is protected by applicable intellectual property laws. These Terms grant you only a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. No other rights are granted, whether express, implied, by estoppel, or otherwise.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free, that the results obtained from the Service will be accurate or reliable, or that any defects will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOGNITOR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings, arising out of or in connection with these Terms, the Service, or your inability to use the Service, regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claims arising from or relating to these Terms or the Service shall not exceed the greater of: (a) the total amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Lognitor, GrenzPro, and their respective officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and costs) arising out of or relating to: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms; (d) your violation of any applicable law or the rights of any third party; or (e) any dispute between you and a third party related to the Service.

13. Termination

By You: You may terminate your account at any time through your account settings or by contacting us at hello@lognitor.com. Termination does not entitle you to a refund of fees already paid for the current billing period.

By Us: We may suspend or terminate your access to the Service immediately, with or without notice, if: (a) you breach any provision of these Terms; (b) your use poses a security risk to the Service or other users; (c) your account has been inactive for an extended period; (d) we are required to do so by law; or (e) we discontinue the Service or any material part thereof.

Effect of Termination: Upon termination, your right to use the Service ceases immediately. We will retain your Customer Data for a reasonable period (not exceeding 30 days from termination) to allow export, after which it will be permanently deleted in accordance with our data retention practices, unless retention is required by law.

Sections of these Terms that by their nature should survive termination shall survive, including but not limited to: Data Ownership, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, pandemics, wars, terrorism, riots, government actions, power failures, internet or telecommunications failures, cyberattacks, or failures of third-party service providers.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days of written notice, either party may pursue resolution in the state or federal courts located in Delaware, and both parties consent to the exclusive jurisdiction of such courts.

Notwithstanding the foregoing, where the laws of your jurisdiction require that disputes be resolved in local courts or under local law (for example, for consumers in the European Union), those requirements shall apply.

16. Changes to These Terms

We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or a prominent notice within the Service. Non-material changes (such as typographical corrections) may be made without advance notice.

Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the Service and may close your account before the changes take effect. Fees already paid are not refundable due to disagreement with updated Terms, except where required by law.

17. General Provisions

Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Entire Agreement: These Terms, together with our Privacy Policy, Data Processing Agreement, and any applicable SLAs, constitute the entire agreement between you and Lognitor regarding the Service and supersede all prior agreements, communications, and understandings.

Notices: We may send notices to you via the email address associated with your account. You are responsible for keeping your email address current. Notices to us should be sent to hello@lognitor.com.
